Please read these Terms and Conditions carefully before using “www.curriculum-press.co.uk” (the “Website”) operated by Curriculum Press. Your access to and use of this website is conditioned on your acceptance of and compliance with these Terms and Conditions. They apply to all visitors, users and others who access or use this website.

If you continue to browse and use this website, you are agreeing to comply with and be bound by the following Terms and Conditions, which together with our Privacy and Cookies Policy, along with any copyright disclaimers, guidelines or other terms that may be sent to you by Curriculum Press, posted on the relevant web page(s) of the website or included in publications, govern Curriculum Press’ relationship with you in relation to this website.

You are encouraged to familiarise yourself with your rights contained within the Sale of Goods Act 1979, Unfair Contract Terms Act 1977 and the Unfair Terms in Consumer Contracts Regulations 1999.

1. Introduction

1 . 1. References in these Terms and Conditions to "Curriculum Press" (or "we", "us" or "our") are to Curriculum Press Limited (company no. 02891160; registered office at Deansgate, 62-70 Tettenhall Road, Wolverhampton, WV1 4TH, United Kingdom; and VAT no. 705205867). If you need to contact us please email info@curriculum-press.co.uk or complete the contact form on the “Contact” page.

1 . 2. These are the Terms and Conditions on which Curriculum Press agrees to provide you with online access to our educational resources to which you have subscribed. By subscribing to and accessing this website and our resources, you agree to these Terms and Conditions.

1 . 3. When subscribing to subscription plans on this website, you must provide us with accurate and complete information, including payment and contact details where required. We are entitled to rely on any information you provide to us. All information received by us about you as a result of your subscription or your access to and use of this website will be used by us in accordance with our Privacy and Cookies Policy.

Please read the Privacy and Cookies Policy for further information about how we may process such information, including your personal data.

2. Terms of Use

2 . 1. The resources included on this website are Site Licenced. This license allows the use of resources individually or at a particular site (e.g. at a school).

2 . 2. School subscriptions allow members of staff to create an individual user account to access the resources to which your school are subscribed. If you have any queries, please Contact Us. Access to and use of these accounts will be monitored and should only be used in accordance with the Site License as detailed in Item 2.1.

2 . 3. The Site License grants you, and if applicable, your school, a non-exclusive, non-transferable right to access and use Curriculum Press resources for non-commercial purposes during the period of your subscription. You shall not: (a) remove, obscure, or change: an author’s name or affiliation; (b) remove, obscure, or change: Curriculum Press’ copyright notices, policies, disclaimers, terms or other means of identification; c) knowingly permit any external use or access to Curriculum Press resources; d) use or distribute the resources for any commercial purpose.

2 . 4. All resources belong to Curriculum Press and its licensors (where applicable), who own all of the intellectual property rights (including copyright). No intellectual property rights are transferred to you at any point.

2 . 5. Upon cancellation or expiry of your subscription, your access to the resources will cease immediately.

2 . 6. If you have any specific, individual requirements for the use and/or access to our resources, which fall outside the scope of this license agreement, you should contact us by email on info@curriculum-press.co.uk for an individual quotation.

2 . 7. If you are unsure whether your individual circumstances violate these Terms of Conditions, you should contact us by email on info@curriculum-press.co.uk for clarification, before agreeing to them.

2 . 8. Samples and Free Resources. The same Terms and Conditions apply to Samples and Free Resources that may be offered on this website. The only difference being that payment details will not be required to access them.

2 . 9. If Curriculum Press suspects that a user has contravened any of these Terms and Conditions, we reserve the right to suspend their access to the website without notice, and without a refund.

3. Your Subscription(s)

3 . 1. Contract with Curriculum Press. By submitting your payment details and other subscription details you are making an offer to Curriculum Press to purchase a subscription plan to the relevant resources. Your offer will be accepted by us and a contract formed only when we have verified your payment details, at which point we will confirm your subscription (by sending you an order confirmation email) and provide you with access to the relevant resources for a subscription period of 12 months. If we are unable to accept your order, we will inform you of this and will not charge you for the subscription.

3 . 2. Pricing and Billing. For further information in relation to Pricing and Billing, please refer to Item 4: Pricing and Billing.

4. Pricing and Billing

4 . 1. Prices. The price you pay for your subscription (and the currency in which you pay) will be stated on the relevant webpage from which you began the ordering process. Such prices will be re-confirmed to you as part of the ordering process. It is your responsibility to pay any charges that might be applied by your bank or payment provider in paying for your subscription, including in relation to any currency conversion required.

4 . 2. VAT and Sales Taxes. You can request a copy of a VAT invoice by emailing info@curriculum-press.co.uk.

4 . 3. Payment details. If you wish to purchase a subscription plan you may be asked to supply certain information including, without limitation, your credit card number, the expiration date of your credit card, and your billing address. You shall provide Curriculum Press with accurate and complete personal and billing information. You represent and warrant that: (a) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (b) the information you supply to us is true, correct and complete. By submitting such payment information, you authorise Curriculum Press to charge all subscription fees incurred through your account to the payment information provided. Upon completion of successful payment, you will be granted immediate online access to the resources to which you have subscribed.

4 . 4. Liability. You expressly agree that Curriculum Press is not responsible for any loss or damage arising from the submission of false or inaccurate information. By submitting such information, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: (a) product or service availability; (b) errors in the description or price of the product or service; and (c) errors in your order or other reasons. You expressly agree that Curriculum Press cannot accept any liability for loss or damage arising out of such cancellation. We reserve the right to refuse or cancel your order if fraud or an unauthorised or illegal transaction is suspected. If you are entitled to receive a refund under these Terms and Conditions, we will credit that refund back to the card or other payment method you used to submit payment (unless it has expired, in which case we will contact you). If at any point we do not receive payment, or your payment authorisation subsequently expires or is cancelled, we may immediately cancel your access to the resources to which you were subscribed.

4 . 5. Invoicing. If you are purchasing from a school or institution and have an account with us but do not wish to pay by credit card, you can provide us with a Purchase Order Number and request for an invoice to be sent. This can be requested during the online checkout process. Alternatively, you can send a Purchase Order directly by email to info@curriculum-press.co.uk. Once we have verified and accepted your invoice request, we will grant you with full access to the online resources to which you have subscribed. We will then issue an electronic invoice, with the full payment corresponding to the billing period as indicated on the invoice.

4 . 6. Recurring Billing. The subscription plans are billed on a 12 month recurring and periodic basis (“Billing Cycle”). At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions using the same payment method, unless it is cancelled by Curriculum Press or you.

4 . 7. Cancellation of subscription and recurring billing. You may cancel the automatic renewal of your subscription at any time, either; (a) by emailing info@curriculum-press.co.uk; or (b) by completing the contact form on the “Contact” page. Within 48 hours we will confirm by email that your subscription has been cancelled.

Please note: If your subscription is cancelled, at the end of the then current billing cycle, you will no longer be able to access the resources to which you were subscribed.

4 . 8. Free Trial. Curriculum Press may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”). You may be required to enter your billing information in order to sign up for the Free Trial. If you entered your billing information when signing up for the Free Trial, you will not be charged by Curriculum Press until the Free Trial has expired. On the last day of the Free Trial period, unless you have cancelled your Subscription, you will be automatically charged the applicable Subscription Fees for the Subscription plan(s) you have selected. At any time and without notice, Curriculum Press reserves the right to (a) modify the Terms and Conditions of the Free Trial offer; and (b) cancel such Free Trial offer.

4 . 9. Student Discount. Curriculum Press offer discounted subscription rates for students under the age of 18 (“Student Pricing”). In order to purchase at the discounted rates, students must be aged 18 or under and upload proof of their student status during the account creation process. We accept the following Student ID: NUS, UNiDAYS, University/School Student ID Card, International Student Identity Card (ISIC card), Student Railcard and more. At any time, without notice, and without refund, Curriculum Press reserves the right to suspend the user account and subscription if they believe that the user is not under the age of 18.

4 . 10. Price Changes. Curriculum Press may at its sole discretion and at any time, modify the Subscription Fees for the Subscriptions Plans. Any Subscription Fee change will become effective at the end of the then-current Billing Cycle. Curriculum Press will provide you with reasonable prior notice of any change in Subscription Fees to give you an opportunity to terminate your Subscription before such changes become effective. Your continued use of the website after the Subscription Fee change constitutes your agreement to pay the modified Subscription Fee amount.

4 . 11. Refunds. Except when required by law, paid Subscription fees are non-refundable. If you purchase a subscription, you have 14 days in order to request a refund if you have not downloaded any materials. By downloading materials as part of your subscription, you agree to waive your cancellation rights as per the Consumer Contracts Regulations 2013, and no refund will be granted.

5. Notice Period for Subscription Cancellation

5 . 1. Subscription Renewal and Notice Period

5 . 1. 1. The standard subscription period for access to Curriculum Press resources is 12 months, as specified in these Terms and Conditions.

5 . 1. 2. No notice is required for the cancellation of a subscription, provided that a cancellation request is submitted in writing either by email to info@curriculum-press.co.uk or through the Contact Form on our website before the date of the subscription renewal.

5 . 2. Subscription Renewal Cancellation and Refund

5 . 2. 1. Subscribers have a grace period of 30 days after the subscription renewal date to cancel their renewed subscription and request a refund (applicable for card payments and other applicable payment methods) provided that no resources have been downloaded during the new subscription period.

5 . 2. 2. To cancel a renewed subscription and request a refund, subscribers must contact Curriculum Press within the specified 30-day period by either sending an email to info@curriculum-press.co.uk or using the Contact Form on the website.

5 . 2. 3. Refunds/cancellation requests will only be granted if no resources have been downloaded during the renewed subscription period.

5 . 2. 4. If resources have been downloaded during the renewed subscription period, the subscriber is obligated to make full payment for the subscription, and no refund will be issued.

5 . 3. Immediate Cancellation

5 . 3. 1. Curriculum Press reserves the right to immediately cancel a subscriber's access to resources without notice and without a refund if it is suspected that the subscriber has violated any of these Terms and Conditions.

5 . 3. 2. In the event of immediate cancellation, the subscriber will forfeit any remaining subscription period and will no longer have access to the subscribed resources.

6. Your Curriculum Press Account and Password

6 . 1. You are responsible for all activities that occur using your Curriculum Press account and password. Please keep these details absolutely confidential to prevent unauthorised access to your account. If, for any reason, you think that your password or account is no longer secure, please contact us on on +44 (0) 1952 271 318 or by emailing info@curriculum-press.co.uk as fast as possible. Curriculum Press accepts no responsibility for anyone accessing your account using a shared/public computer.

6 . 2. Curriculum Press reserves the right to release account and other data for any legal reasons; or to enforce our Terms and Conditions or to protect the rights, property and security of www.curriculum-press.co.uk and its users. This may include exchanging information with other companies and organisations in order to reduce or prevent fraud.

6 . 3. We will not use or share your data for any other purpose other than those outlined above or without your express consent.

6 . 4. You are responsible for ensuring that your personal and billing information is correct and up-to-date at the time of any subscription order.

7. Limits of Liability

7 . 1. Curriculum Press accepts no responsibility if you incur any loss or damage as a result of using this website outside the scope of these Terms and Conditions, nor do we accept any responsibility in respect of any third-party products or services referred to or linked to as part of Curriculum Press’ website and resources.

7 . 2. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the content found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any inaccuracies or errors to the fullest extent permitted by law.

7 . 3. We regularly update our offerings of products and services on this website. The products and/or services available may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information with our advertising on other websites. You expressly agree that any such offer of a product or service does not constitute a legal offer capable of attracting legal consequences.

7 . 4. Your use of any content on this website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services, or information available through this website meet your specific requirements.

7 . 7. Your use of this website is at your sole risk. The website and the resources are provided on an “As Is” and “As Available” basis. The website is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Curriculum Press, its subsidiaries, affiliates, and its licensors do not warrant that (a) the website will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) the website is free of viruses or other harmful components; or (d) the results of using the website will meet your requirements.

In no event shall Curriculum Press, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the website; (b) any conduct or content of any third party on the website; (c) any content obtained from the website; and (d) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Exclusions

Without limiting the generality of the foregoing and notwithstanding any other provision of these Terms and Conditions, under no circumstances will Curriculum Press ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to your use of the website and these Terms and Conditions, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by Curriculum Press or any person for whom Curriculum Press is responsible, and even if Curriculum Press has been advised of the possibility of such loss or damage being incurred.

9. Access to and use of this website

We endeavour to make our website accessible at all times. However, due to the nature of the internet, this is not always possible. Access may be restricted due to third party problems, updating or maintenance of the website or due to factors not foreseen.

11. Ownership of Content

All text, graphics, logos, images, software, digital downloads, are the property of Curriculum Press and may not be reproduced, duplicated, copied, sold, resold, or otherwise used for any commercial purpose without the written consent of Curriculum Press.

12. Childrens Online Privacy Protection Act Compliance

We are in compliance with the requirements of COPPA (Childrens Online Privacy Protection Act). This website is not directed to children younger than 13, and access and use of this website is only offered to users aged 13 years or older. If you are under 13 years old, please do not register to use this website. Any person who registers as a user or provides their personal information to this website represents that they are 13 years of age or older.

13. Submitting Content

This website allows you to submit resources and make available certain information, text, graphics, videos, or other material (“Content”) in return for a cash payment providing that your content is accepted and used as part of this website. You are responsible for the Content that you submit, including its legality, reliability, and appropriateness. 14. General

14 . 1. Transferring rights and obligations. Curriculum Press may transfer its rights and obligations under this Agreement to another organisation upon notice to you.

14 . 2. Severability. Each of the provisions set out in this Agreement operates separately. If any court of competent jurisdiction determines that any of them are invalid, the invalidity will not affect the other provisions which shall remain in full force and effect (and construed accordingly to the extent necessary).

14 . 3. No waiver. If either party fails to exercise any right or remedy under this Agreement then such failure does not amount to a waiver of that right or remedy.

14 . 4. Entire Agreement. This Agreement constitutes the complete agreement between you and Curriculum Press relating to your use of this website.

14 . 5. Alternative Dispute Resolution. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without having to go to court. If you are not happy with how we have handled a complaint, disputes may be submitted for online resolution to the European Commission Online Dispute Resolution Procedure.

14 . 6. Law and Jurisdiction. This Agreement will be subject to English Law and both you and Curriculum Press agree that the courts of England will have non-exclusive jurisdiction to settle any dispute which may arise out of, or under, or in connection with this Agreement.

14 . 7. Changes. We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. We will try to provide at least 30 days’ notice prior to any new Terms and Conditions taking effect. By continuing to access and/or use this website after those revisions become effective, you agree to be bound by the revised Terms and Conditions. If you do not agree to the new Terms and Conditions, you must stop using this website.

14 . 8. Copyright Infringement.
